These Order terms provide details around your (“the resale partner’s”) Order for a proactive outreach bundle which includes SMS services, WhatsApp services, and access to the Connect platform for integration (“Proactive Outreach Services”). Unless otherwise indicated in these Order terms and/or other 8x8 documentation and except where a provision relates specifically to an X-Series product or service, the terms of the 8x8 resale partner agreement which apply to SaaS services apply to the Proactive Outreach Services. In the event of conflict between the 8x8 resale partner agreement and these product-specific terms, these product-specific terms shall take precedence only to the extent the conflict relates to the Proactive Outreach Services.

Fees and Billing. For the Proactive Outreach Services, pricing may be structured under either (i) a monthly committed tier model, or (ii) a recurring platform fee with minimum usage commitment model, as specified in the applicable Order or rate card.

(A) Monthly Committed Tier Model

The resale partner must pay the applicable monthly committed tier fee specified in the applicable Order or rate card. The committed tier fee is billed monthly in advance and represents the recurring charge for access to and use of the Proactive Outreach Services. In addition, the resale partner must pay all carrier usage charges incurred at the rate specified in the applicable carrier rate card provided to the resale partner. Carrier usage charges are billed in arrears based on actual usage recorded by 8x8. Any usage above the selected committed tier will be billed at the same per-message carrier rate, with no uplift or surcharge. Any unused messages included in a committed tier do not roll over to subsequent billing periods. The committed tier fee remains payable even if no usage occurs during a billing period. From time to time, 8x8 may update pricing and billing frequency at its discretion via communication to the resale partner or posting to the PartnerExchange portal (https://8x8.my.site.com/partnerxchange/s/login/) and will provide the resale partner with at least 30 days’ notice.

The committed tier covers up to 20 user registrations and activation of one SMS Sender ID or TFN (destination-dependent) and where relevant one associated WhatsApp Business account. For resale partners or end customers on a flexible tier with no committed message volume, user access to the Proactive Outreach Services is included; however, a Sender ID, Toll-Free Number, or equivalent carrier identifier must be purchased and configured in order to send traffic. A separate setup fee is required for each additional country or Sender ID to which traffic is sent.

(B) Platform Fee + Discounted Usage Model

This pricing model applied only to Orders entered into prior to 20 March 2026 and is no longer available for new Orders.

Under this model:

The resale partner must pay the monthly recurring platform fee and all discounted usage charges incurred at the time of such usage at the rate specified in the rate card table provided to the resale partner. Usage is reconciled and billed quarterly in arrears. The platform fee will be billed monthly in advance. From time to time, 8x8 may update pricing and billing frequency at its discretion via communication to the resale partner or posting to the PartnerExchange portal (https://8x8.my.site.com/partnerxchange/s/login/) and will provide the resale partner with at least 30 days’ notice.

The recurring platform fee covers up to 20 user registrations and activation of one SMS Sender ID or TFN (destination-dependent) and where relevant one associated WhatsApp Business account. A new country / SMS Sender ID setup fee is required for each instance that traffic is to be sent to.

All use of the Proactive Outreach Services must comply with any rules and restrictions imposed, directly or indirectly, by carriers, including campaign registration (where applicable). The resale partner assumes sole responsibility for submission of campaign registration applications, for the content and costs of such submissions, and maintaining compliance with any applicable carrier requirements and content policies (e.g., see SMS Campaign Registration: SMS Usage and Content Policies).

Usage for outbound SMS messages (i.e., messages that terminate at a mobile number) is dependent on the relevant country and operator and occurs when 8x8 or the resale partner/end customer submits the message to the carrier using any delivery method and is billed based on the destination 8x8 records. Messages are measured in message segments as defined at the carrier-level (see https://support.8x8.com/business-phone/voice/work-sms/charges-for-sms-mms).

The resale partner agrees to be bound and must ensure the end customer is bound by the relevant terms and conditions for any applicable third-party services (e.g., WhatsApp) included in the Proactive Outreach Services, which are made available on the 8x8 Legal Information Hub. For example, please see the Product Schedule section, providing product-specific information including third-party products and services.

8x8 may change or update the Proactive Outreach Services at its discretion, and will notify the resale partner in advance, if reasonably practicable, of any change that materially reduces overall functionality or security of the Proactive Outreach Services.
